Investor Lawrence B. Seidman said he had reached a settlement with the company, under which he is ending his proxy contest for three board seats. The settlement will end outstanding legal disputes between Seidman and Yardville if the company's pending merger goes through.

As part of the deal, Yardville will pay about $100,000 to Seidman, who owns about 1 million shares (9.26%).

Yardville National Bancorp (YANB)
A group including Yardville National dissident shareholder Lawrence Seidman sent the company a letter nominating three directors for election to YANB's board at the 2007 annual meeting. The investor group said it's nominating Patrick A. Robinson, Neal Axelrod and Dennis Pollack for election to the board for the terms expiring in 2010. The Seidman group currently holds 994,164 shares (about 9%).

Yardville National Bancorp (YANB)
An investor group including Seidman & Associates said a court had found that the bank holding company's directors had breached their fiduciary duty. The Seidman affiliates had sued the New Jersey company to enjoin it from implementing a "new qualification bylaw" and to halt any attempt to prevent Lawrence B. Seidman or a Seidman-backed candidate from running for the board. As of Feb. 8, the group had 933,435 shares (8.75%).
