Accipiter Capital Management reduced its ownership to 2,432,766 shares (9.79%), after selling 765,167 shares from Sept. 9 to Oct. 5 at $3.96 to $4.43 each.

A group including Falck Danmark raised its position to 1,653,033 shares (6.65%), after buying 428,266 from April 30 to May 12 at prices ranging from $1.34 to $1.96 each.

Accipiter Capital said that it will nominate three candidates for election to the board at the 2007 annual meeting. Accipiter has 3.7 million shares (14.99%).

"Stadium Capital Management called for replacing management or selling the company. Stadium Capital expressed dissatisfaction with Rural/Metro's delayed filing of its annual report, inadequate investor communication by the management and the "inappropriate delay" of the 2007 annual meeting of stockholders until February 2008. Stadium Capital said the delays and restatements suggest "a fundamental lack of financial oversight at the management and board level." Stadium Capital currently holds 2,813,652 shares (11.4%)."
