A group including Monarch Activist Partners wants the communications transmission company to "amicably resolve" Discovery Equity Partners' request to appoint two nominees to its board. In mid-February, Discovery said it wanted to nominate candidates for election to the board at the 2008 annual meeting. Monarch said the nominees, Daniel Donoghue and Michael Murphy, would support the exploration of strategic alternatives. Monarch said that if the "process is open and fair, the board and shareholders can only gain by appointing Discovery's nominees." The Monarch group holds less than a 5% stake in Radyne.

A group including Chadwick Capital Management wants Radyne to immediately hire an investment bank to explore strategic alternatives, including a possible sale. The group is concerned with the strategic direction of the company and the growing gap between its value as a standalone entity, versus its value in a sale. The Chadwick group, which also includes Monarch Activist Partners, holds less than a 5% stake in Radyne. The number of shares weren't available from the filing.

Discovery Equity Partners reports that it intends to nominate directors at Radyne's 2008 annual meeting, and says that the company has rejected its request to inspect its books. Discovery Equity has pushed the company to sell itself, and believes that Radyne has been approached by several suitors willing to purchase it at a price that is significantly higher than its recent stock price. "We also believe that the board categorically dismissed these bonafide offers without serious consideration," Discovery contends in the filing. Discovery Equity is requesting a stockholder list from Radyne so that it can contact shareholders about its board nominees. Discovery Equity owns 1,618,427 shares (8%).

Midwood Capital Management owns 1,107,825 shares (5.9%), after buying 188,425 from Oct. 23 to Dec. 4 at prices ranging from $8.95 to $10.39.

Investment firm Discovery Group told Radyne that it has discussed with two unidentified companies their possible acquisition of the maker of satellite-communications software. Radyne management has rejected a sale and instead wants to pursue its operating plan. Discovery Group urged the company to hire an adviser to orchestrate a sale. Discovery Group owns 1,618,427 shares (8.8% of the total outstanding).
