Lincare Holdings Inc. announced its intention to commence an offering of up to $500 million convertible senior debentures.

Lincare intends to use up to approximately $150 million of the net proceeds from the issuance of the Debentures to acquire shares of its common stock concurrently with the offering and it may use additional proceeds for further stock repurchases following the offering.
