Sun Capital Securities Group says it will support most of FBN's slate of director nominees, but not FBN nominees Katherine Button Bell, Richard B. Loynd and Albert E. Suter. Sun is soliciting shareholder proxies for its nominees: Alan Schwartz, Ira Kaplan and T. Scott King. FBN is urging shareholders to vote for its eight nominees and none of the dissident's picks. Sun Capital holds 4,581,881 shares (9.45%).

On Feb. 20, SCSF Equities, an affiliate of Sun Capital, made a nonbinding proposal to acquire all FBN common stock at a substantial premium to FBN's recent closing price of $10.18 a share. FBN rejected SCSF's offer, saying that it is committed to its strategic plan and that the bid contains many caveats that make it difficult to evaluate. SCSF responded by nominating three individuals for election as directors to the company's eight-person board at the 2008 annual meeting and by soliciting proxies in connection therewith.

SCSF Equities has made a "non-binding proposal" to acquire all the furniture company's shares for a "substantial premium" to its recent stock price of $10.18 a share. SCSF said its "strong preference" is to retain management under the private-equity firm's ownership, "although the proposal is not contingent or predicated on management's participation." SCSF didn't detail the exact terms of the proposal, but said it is interested in acquiring the company for cash. SCSF has 4.58 million shares (9.45%).
