Hedge fund Elliott Associates, which has terminated its $447 million bid to buy Epicor, may nominate one or more directors to the company's board. Elliott also may recommence a tender offer or discuss with other parties any proposals involving Epicor. Elliott and its affiliates hold 7,902,581 shares (12.8%).

On Aug. 18, Elliott Associates reported that it had inquired if Epicor had considered exploring strategic alternatives to maximize shareholder value. On Aug. 20, Elliott sent a letter to the Epicor board expressing its view that now is the time to begin a process to sell the company.

The software sector, in particular, seems ripe for consolidation. Cowen & Co.'s Peter Goldmacher last week noted that the applications-software group is down 21% this year. His view: That's created an opportunity to buy quality names on the cheap. Goldmacher offers up four examples: Ariba (ARBA), Epicor Software (EPIC), Lawson Software (LWSN) and DealerTrak Holdings (TRAK). All, he says, offer "M&A appeal."
