Executive Summary
Executive Summary Why Cannabis Science is entering the pharmaceutical cannabis industry.
Recent advances in science have opened the door to develop, produce, and commercialize, a
variety of effective whole plant cannabinoid based pharmaceutical products with a wide
variety of important applications.
Although cannabis has been used medicinally for thousands of years, until very recently
little was known about how it actually worked. Some uses of cannabis are well known, such
as alleviating nausea and stimulating the appetite for people with AIDS and cancer.
Other well-known uses include chronic pain, and reducing muscle spasms associated with
neuromuscular disorders like MS and spinal cord injuries. Some current uses are poorly
understood, such as its effectiveness in alleviating certain autoimmune disorders such a
Crohn's Disease.
Our team of scientists will develop more effective ways to produce and commercialize the
production of whole plant cannabinoid based pharmaceutical products. Even today new uses
for cannabis are being found, such as the recent discovery that topical cannabis
preparations can be effective against MRSI, the deadly antibiotic-resistant flesh-eating
disease. Other topical applications, which are largely non-psychoactive, would target
localized pain, such as arthritis, and burns, but also neuropathic pain, for which there
are few effective treatments.
In 2001, an article published in the Canadian Medical Association Journal revealed that,
based on self-identified needs, an estimated 2% (or 400,000) Canadian adults were already
using cannabis for medical purposes. That number would extrapolate into roughly 4 million
in the US. Consequently, we believe that it would not be unreasonable to think that the
global medical cannabis market will potentially reach several billion dollars.
Whole Cannabis Pharmaceutical Products on the Market Today
GW has entered into agreement with the German pharmaceutical firm Bayer Healthcare for
marketing Sativex® in the UK. This agreement provided GW with millions of dollars in
licensing fees and operating capital.
In February of last year, GW Pharmaceuticals sold the rights to develop and market
Sativex® for cancer pain in the US to Japanese firm Otsuka Pharmaceutical. Otsuka paid GW
a signature fee of $18 million, and may pay up to $273 million in royalties and fees. In
addition, Otsuka will bear the costs of all US development activities for Sativex® in the
treatment of cancer pain, additional indications, and future formulations. GW and Otsuka
will jointly oversee all US clinical development and regulatory activities.
Clearly, Otsuka's willingness to contemplate paying up to a quarter of a billion dollars
in royalties and fees for one cannabis-based pharmaceutical with a less than overwhelming
efficacy profile indicates that the total market for medical cannabis products is a
multi-billion prospect. According to Investec Securities, GW's broker, Sativex® could
have peak annual sales of $390m.
Also, in 2005 GW and the Spanish pharmaceutical company Almirall Prodesfarma, S.A.
("Almirall") announced that they had entered into an exclusive agreement for Almirall to
market Sativex® in Europe (excluding the UK) … Almiral paid GW a "£12 million
signature fee." (approx $20 million at present exchange rates.)
Our Market
Our Market The mainstream pharmaceutical industry is capital-intensive and constrained by
high regulatory hurdles, making the profitability of any particular product a long-term
prospect. Cannabis Science is different in three key respects:
The Company will, at least in its first phase of existence, deal primarily in intellectual
properties – patents on products and processes – leaving capital-intensive problems
such as regulatory compliance, mass production and marketing to the “old guard”
pharmaceutical companies who license our patents.
We will focus on a relatively new and under-explored niche in the pharmaceutical market:
Whole-plant cannabinoid compounds derived from certified organic ingredients. The existing
pharmaceutical industry is heavily geared, by inclination and in terms of infrastructure,
toward the development and testing of synthetic compounds.
Cannabis Science has strong roots in, and an established relationship of trust with, the
US and Canadian medical cannabis patient communities. In the course of product and process
development, we'll do "well" by doing "good" - our products will receive baseline efficacy
testing in that community. Since medical cannabis already inherently exceeds all
reasonable standards of safety, potential licensees will approach the regulatory process
with a reasonable expectation that the products and processes they license will easily
exceed that process's safety and efficacy standards. Thus our products and processes will
enjoy a significant advantage over previously untested synthetics.
Management Team
Mr. Cowan has a BA from Yale University in Economics and extensive experience in corporate
finance. Prior to his commitment to cannabis activism, Cowan served on the boards of
several publicly owned companies, and has extensive experience in corporate finance. Cowan
is a former CEO of the National Organization for the Reform of Marijuana Laws, and for the
last ten years has published MarijuanaNews.com.
Cannabis Science's corporate leadership team brings together decades of relevant
experience and knowledge in the relevant scientific, financial, regulatory and political
subjects. If this were all that the management team brought to the table, the company
would be well-positioned for success. However, the team also operates on an ethos rooted
in the medical cannabis community – a dedication to bringing the safest, most effective
medicines possible to the patients who need them.
Dr. Robert J. Melamede, Ph.D. Director & Chief Science Officer
Dr. Melamede has a Ph.D. in Molecular Biology and Biochemistry from the City University of
New York. He retired as Chairman of the Biology Department at University of Colorado,
Colorado Springs in 2005, where he continues to teach. Dr. Melamede is recognized as a
leading authority on the therapeutic uses of cannabis, and has authored or co-authored
dozens of papers on a wide variety of scientific subjects. Dr. Melamede also serves on the
Advisory Board of The Journal of the International Association for Cannabis as Medicine,
and the Scientific Advisory Board Medical of the Marijuana Policy Advocacy Project, as
well as the Scientific Advisory Board of Americans for Safe Access. He also served as a
director of Newellink Inc, a Colorado-based company specializing in cancer research.

Research & Development
Endocannabinoids are marijuana-like compounds that are produced by most animals, including
all vertebrates. Quite surprisingly, the endocannabinoids system has an all-pervasive role
in maintaining homeostasis (biochemical balance). All living creatures suffer from a
common biochemical imbalance, we are all aging. Today, in developed countries, most people
suffer and die from age-related illnesses including cardiovascular diseases, autoimmune
diseases, neurological disorders, and cancers. Modern science from an abundance of
peer-reviewed publications indicates that stimulating the endocannabinoid system benefits
all of these conditions.
We understand what patients need and want. As a result, the Company offers the savvy
investor a novel opportunity to participate in producing groundbreaking products that will
impact some of the most important medical concerns of our times. In addition to targeting
the billion dollars a year pain management industry, the Company is uniquely positioned to
develop products for high blood pressure, cancer, HIV, and the bird flu.
Cannabis Science is in a unique position to pursue the development of blood pressure and
cancer medications. The endocannabinoid system normally regulates blood pressure through
its capacity to dilate blood vessels and reduce adrenergic stimuli. Additionally, there is
a developing body of evidence that shows both the tumor killing properties of endo- and
phyto- cannabinoids, and their ability to inhibit metastasis in a variety of cancers.
Cannabis Science works with world authorities on phytocannabinoid science developing
cannabis-based therapeutics that will holistically promote health by restoring biochemical
balance. By adhering to underlying scientific principles, the Company will manipulate
all-pervasive phytocannabinoid processes to target a variety of disparate illnesses.
An emergent global threat is that the bird flu, a strain (H5N1) of influenza A, will
evolve to infect human beings. The typical yearly variation in flu strains has been an
ongoing challenge and concern to researchers developing preventative and therapeutic
products. The high degree of variability found in the influenza A virus is an intrinsic
property of the virus’s chromosomal structure and how it replicates. Overcoming the
difficulties encountered in this field take on even greater importance with the threat of
the bird flu jumping species bird into the human population.
The bird flu differs from other strains by its enhanced capacity to kill infected
individuals. The common cause of death with this strain is that patients developed adult
respiratory distress syndrome (ARDS). ARDS is in excess inflammatory response that leads
to apoptosis and organ failure. The Company’s approach will mimic how the human body
uses endocannabinoids to regulate immune activity and cell survival.
The magnitude of the bird flu threat is so great that positive results from this arm of
our research would greatly facilitate the acceptance of our cannabis-based
pharmaceuticals. There should be highly profitable additional applications that result.
More recently, revolutionary scientific breakthroughs in understanding the HIV infective
and developmental processes have been discovered that will lead to entirely new
therapeutic approaches.
Cannabis Science is uniquely positioned to explore insights that indicate an intrinsic
link between novel cancer and HIV technologies and the cannabinoid system. Published
experiments by a leading AIDS researcher, Dr. Donald Abrams, suggest that counter to
conventional wisdom, smoked marijuana does not result in an increased HIV viral load. In
fact, there were suggestions of a reduced viral load. We expect to show that our
pharmaceuticals will enhance biochemical markers that are indicative of a successful HIV
therapy based on recent paradigm breaking discoveries.
Overall, our product development will follow two parallel paths. We will create
pharmaceuticals with and without psychoactive properties. Both of these lines will have
numerous health benefits for treating illnesses and for general health maintenance. Both
psycho and non-psychoactive products with demonstrated therapeutic efficacy for these
globally important illnesses will facilitate entry first into the Canadian marketplace.
Proven efficacy in the Canadian market should then open the US and global markets.

I was thinking the other day about this and I thought I would put it in my blog. Someone
last year said the volume isn’t there in the penny market like it used to be. This is
true because a lot of the traders and investors that like risk are playing the forex
market. While forex is more risky because of the leverage then pennies there is still some
risk. I could see a trend of volume into penny land again. The stimulus tax package should
help small American business do very well. However, in order to be effective one must be
selective in their trading and investment plans. This requires research and dd. I play
both and if you look at the times that I placed the trades then compare them to the chart
I am doing very well. It isn’t about touting it is about timing.
Just my thoughts.
