Hedge-fund manager Leon Cooperman is opposing the company's $490 million acquisition by Tower Group (TWGP). Cooperman wants the company to share its analysis showing how this transaction is fair to CPHL shareholders. "Just show me I am wrong, and I will go along with the transaction quietly," Cooperman says, suggesting that the Tower Group sweeten the package with a warrant that adds some $2 a share in value. Cooperman owns 2,750,500 shares (7.2% of the total outstanding).

Riley Investment Management entered into a settlement with the company. Under it, Zilog will expand its board to six directors, with Eric Singer named as a Class III director. Upon his appointment, Singer will assume a seat on the board's compensation committee, and Zilog will include him on its slate for election as a Class III director at the 2008 annual meeting. Riley, in turn, will withdraw its nomination letter and vote in favor of the board's slate at the 2008 and 2009 meetings. Riley holds 1,408,907 shares (8.3%).

Jasmine Holdco is evaluating possible transactions with the Israel-based information-security company. Jasmine's representative met briefly with Aladdin's management recently to inquire about a sale of the company's software digital-management rights business and was told that the company had no interest in a sale. Aladdin is evaluating whether to encourage the company to maximize shareholder value through a possible merger, sale of assets, or business combination, which may include a transaction with SafeNet, a Jasmine affiliate. Jasmine may also seek representation on the company's board. Jasmine Holdco reported ownership of 1,269,300 shares (9.14%).
