From Barron's 7-16-07: "SCO Capital Partners has sent a sixth letter to Bioenvision proposing a "new plan" for the company and its shareholders, who recently rejected a $5.60-a- share takeover by Genzyme (GENZ). SCO said that it wants to fill two of the seats on Bioenvision's board, stabilize and augment management, and terminate Genzyme's North American sublicense to produce clofarabine, an anti-cancer substance. Despite the rejection of the tender offer, Genzyme is still purchasing 22% of the company and is hoping for a full merger vote by the end of the year. SCO Capital Partners holds 7.21 million shares (13.4%)."

From Barron's 7-16-07: "PartnerCommunity has nominated six candidates for election to the board. Four of these nominees, David I. Portnoy, Mark L. Portnoy, Scott D. Martin and Craig E. Fleishman, collectively hold a 4.6% stake in the Oldsmar, Fla., blood-bank operator. PartnerCommunity said that the four have verbally agreed to vote all of each nominee's shares for the election of the six candidates. Partner Community owns 90,787 shares (0.07%)."

From Barron's 7-16-07: "ValueAct Capital will vote against the company's bid for rival Bausch & Lomb (BOL), saying the deal is too risky. ValueAct said the company should focus on fixing its contact lens-solution business and integrating prior acquisitions before bidding for Bausch & Lomb. ValueAct Capital holds 8,811,635 shares (14.7%)."

From Barron's 7-16-07: "Chapman Capital demanded that the company announce by July 31 either the scheduling of an annual shareholders meeting or the appointment of at least two shareholder-selected directors. Robert L. Chapman, the managing member of Chapman Capital, said "an owner-led board reconstitution was imperative and long overdue." Chapman Capital has about 14 million shares (6.4%)."

From Barron's 7-16-07: "Loeb Partners believes the company has only two viable options: a sale or a liquidation on a "timely and cost-effective basis." Loeb said that it may engage in talks with ESS or seek representation on its board if a sale or liquidation isn't "pursued vigorously." In mid-June, ESS said directors on the board's strategic-transaction committee would look into liquidation as part of a review of corporate alternatives. Loeb Partners owns about 3.14 million shares (8.83%)."
