Each week Barron's has a 13D Filings column. 13Ds are filed when a fund (usually an activist hedge fund) accumulates more than 5% of a firm and is planning on pushing for change (e.g.a sale of the company, sale of certain assets, a share buyback, or a share dividend) to unlock value.

Shamrock Activist Value Fund submitted notice that it intends to nominate three candidates for election to the cement-maker's board. The firm, which manages investments for Roy Disney, the nephew of Walt Disney, said in a letter that TXI "has a well-documented record of underperformance versus its peers," and that the company's current board "has not exercised proper oversight of management, [and] has not held management properly accountable for operational failures and shortfalls." Among other issues, Shamrock wants Texas Industries to eliminate its "poison-pill" provision, which effectively blocks an acquisition of TXI. Shamrock's nominees are: Marjorie Bowen, a former managing director of investment bank Houlihan Lokey; Dennis Johnson, managing director of Shamrock Capital Advisors, investment advisor for Shamrock Activist Value Fund; and Gary Pechota, president and chief executive of DT-Trak Consulting, a medical-billing, data and claims-management firm. TXI has yet to announce its annual meeting date. Shamrock owns 2,456,244 shares (8.87% of the total outstanding). The firm paid approximately $80.25 million, or $32.67 per share, to acquire the holding.
