Hot Creek Capital and its affiliates are concerned with several governance issues at Premier Financial related to the company's proposed merger with Abigail Adams National Bancorp (AANB). Earlier this year, Premier announced plans to acquire Abigail Adams in a stock deal valued at about $10.9 million. Hot Creek believes there are "clear conflict of interest issues" regarding the company's disclosure documents related to the merger.
