Each week Barron's has a 13D Filings column. 13Ds are filed when a fund (usually an activist hedge fund) accumulates more than 5% of a firm and is planning on pushing for change (e.g.a sale of the company, sale of certain assets, a share buyback, or a share dividend) to unlock value.

Lamassu Holdings sent a letter to Ditech Networks nominating two candidates for election to the board at the 2009 annual meeting. The group's nominees are Tim Leehealey, co-founder and managing member of Lamassu, and Frank J. Sansone, who recently served as the chief financial officer for LiveOffice. Lamassu Holdings presently holds 2,399,845 shares (9.1% of the total outstanding).

Hot Creek Capital and its affiliates are concerned with several governance issues at Premier Financial related to the company's proposed merger with Abigail Adams National Bancorp (AANB). Earlier this year, Premier announced plans to acquire Abigail Adams in a stock deal valued at about $10.9 million. Hot Creek believes there are "clear conflict of interest issues" regarding the company's disclosure documents related to the merger. It also has "serious doubts" as to the independence of Premier's board. And it has called for Premier's board to terminate the merger pact with Abigail Adams. Hot Creek and its affiliates currently hold 66,775 shares (1.05%).
