Mario Gabelli's Gamco Investors (GBL) wants Cavalier Homes to add two director nominees, Kenneth Shipley and Curtis Hodgson, from a dissident shareholder group. Gamco made its decision after discussions with Cavalier and the group -- the Cavalier Homes Committee for Change. If Cavalier accedes to the request, Gamco intends to vote its shares for Shipley, Hodgson, and Cavalier's candidates at the May 19 annual meeting. The Gamco group holds 3,240,699 shares (18.41% of the total outstanding).

Bandera Partners sent a letter to Peerless Systems' Chairman Timothy Brog, proposing to nominate Jefferson Gramm as a director at the annual meeting. Gramm is the managing director of Bandera, which holds 3.6 million shares (21.3%) of Peerless Systems. Bandera said it isn't interested in changing Peerless' capital-allocation strategy, and doesn't consider itself an activist investor.

Quicksilver also wants BreitBurn to consolidate its offices and improve its disclosures. Quicksilver, which is BreitBurn's largest investor, has 21,347,972 common units (40.45%).

Millennium Group intends to evaluate measures aimed at enhancing the company's value. Millennium has had conversations with Bitstream's management, including the chief executive. Discussions to date have related primarily to the company's business and operations, financial performance, capital structure, governance, valuation and future plans. Millennium owns about 1.35 million shares (13.6%).

Southeastern Asset Management wants the company to sell itself or its wireless assets to a national wireless carrier. Southeastern contends a much greater value can be recognized through a sale of the company as opposed to remaining independent. It also said that if Telephone & Data doesn't sell itself, it should "simplify" its capital structure. Southeastern says the stock is undervalued and wants management to repurchase shares. Southeastern owns 2,838,648 shares (5.5%).

Starr International, a firm led by former AIG CEO Maurice "Hank" Greenberg, agreed to buy from Greenberg and his affiliates 60.34 million shares of AIG common. Starr will buy 12.89 million shares from Greenberg, and about 47 million from C.V. Starr, a firm led by Greenberg and several of his trusts and foundations. Starr International owns about 205.9 million AIG shares (7.65%).
