A group including Obrem Capital Management wants Micrel to call a special shareholder meeting and rescind recently adopted shareholder-rights plans. Obrem wants the chip maker to boost its board to six members from five, and to elect Bill Bradford, Keith R. Gollust, Eric Gomberg, Ben Goren, Keith M. Kolerus and Andrew Rechtschaffen to fill the vacancies created by the removal of the five current directors. Obrem says the rights plan doesn't maximize or enhance shareholder value. The Obrem group holds 10,690,690 shares (14.9% of the total outstanding).

Childress informed Sierra of her intention to nominate herself for election to the board in December. 2007. To secure the position, she recently concluded that a solicitation of proxies was necessary, and intends to solicit proxies through the distribution of her own proxy statement. Childress reported ownership of 665,615 shares (7%).

Luther King Capital Management may consider making a competing acquisition proposal for IDGR. Last month, Industrial Distribution agreed to be acquired for $10.30 a share by an affiliate of Platinum Equity Advisors, in a deal worth about $113 million. LKCM reviewed the "adequacy of the offer" made by Platinum, particularly in light of significant margin expansion it believes IDGR will realize in future periods from management's recently implemented information-technology-infrastructure enhancements; strategic-pricing initiatives; and ongoing facility rationalization. Based on its review, LKCM said that it's considering strategic plans and proposals that, if effected, could result in a competing acquisition proposal. LKCM owns about 1.43 million shares (14.9%).
