Each week Barron's has a 13D Filings column. 13Ds are filed when a fund (usually an activist hedge fund) accumulates more than 5% of a firm and is planning on pushing for change (e.g.a sale of the company, sale of certain assets, a share buyback, or a share dividend) to unlock value.

RLR Capital Partners wants Hypercom to negotiate "the best deal possible" with Ingenico, which has offered to acquire all of Hypercom's outstanding shares for $6.25 each in cash. RLR owns 3,667,307 shares (6.9% of the total outstanding).

Riley Investment Management said that it's extending until Feb. 28 its bid for all of the company's outstanding shares. Previously, Transmeta had retained Piper Jaffray to work with its board to help evaluate the unsolicited, conditional offer. Riley said Transmeta hasn't responded, and that it's disappointed by the board's behavior. Riley Investment has 856,478 shares (7.1%).

Ronex Holdings intends to request a special shareholder meeting aimed at changing the composition of the Retalix board. Ronex will seek to speak with management about ideas to enhance shareholder value. Ronex owns about 2.33 million shares (11.7%).

Sterling Capital Management wants Axcelis, a semiconductor-chip equipment and services outfit, to "look for consolidation opportunities" within its industry. Sterling wants the board to confer with Japan's Sumitomo Heavy Industries to determine if a combination is appropriate. Axcelis said its board is discussing the unsolicited $5.20- a-share cash proposal from Sumitomo, and that shareholders don't have to take action at this time. Sterling Capital owns 12,231,308 shares (12%).

Investor Nelson Peltz's Trian Fund Management wants Wendy's board increased to 15 directors, from the current 13. If the proposal were adopted, Trian would nominate six directors. If those six were elected Trian would have a majority on the board. Three of the current directors were appointed in 2006 under an agreement with Trian, Peltz's hedge fund. Peltz said that if the proposal isn't adopted at the annual meeting, he will nominate four directors. Peltz owns 8,553,800 shares (9.8%).

Shaw & Co. is concerned about the rights of Orient-Express' super-voting class B shares and whether owners of class A stock will have the opportunity to hold a definitive vote regarding a merger or sale of the company, should a proposal be made.
