Discovery Group I plans to nominate two directors for election to Tier Technologies' board at the company's 2009 annual meeting. The nominees will be Daniel J. Donoghue and Michael R. Murphy. Discovery said it believes that Tier's shares are trading at a "significant discount to the company's true value, and that the discount is due to investors' lack of confidence in the current board's ability to deliver value to shareholders." Discovery and its affiliates currently own 1,957,563 shares (9.9% of the total outstanding).

The Shamrock Activist Value Fund submitted a proposal urging the company to abandon its "poison pill" anti-takeover provisions. The proposal will be included in the company's proxy for the 2009 annual meeting. Shamrock said that Jackson Hewitt's poison pill is an "extremely powerful deterrent" to would-be purchasers of company stock, and that it might prevent company stockholders from seeking and receiving the best possible price for their holdings. Shamrock owns 2,394,312 shares (8.3%).

Castlerigg Master Investments intends to propose four nominees for election to the company's board at the 2009 annual meeting. The nominees are Stephen Beasley, Michael Egan, Keith Gollust and Nick Graziano. Castlerigg plans to solicit proxies seeking to elect its nominees. Castlerigg holds 12,250,714 shares (9.9%).

Billionaire investor Carl Icahn reported ownership of 75,605,124 shares (5.45%), after buying 6,778,804 between Nov. 24 and Nov. 26. at $9.80 to $10 a share. Icahn, who is a director of Yahoo!, believes that the Internet portal's shares are undervalued. He has had discussions with Microsoft (MSFT) regarding a possible merger. But there currently are no understandings between Microsoft and Yahoo!

Mexican billionaire Maria Asuncion Aramburuzabala Larregui reported ownership of 25.6 million ordinary shares (5.1%), after acquiring 928,300 on Nov. 27 for a total of about $1.34 million and buying 500,000 shares on Oct. 8 for $866,884. Aramburuzabala plans to acquire additional stock from time to time. She eventually might own as much as 9.99% of the outstanding shares.

Funds managed by Mario Gabelli's Gamco Investors (GBL) reported ownership of 3,025,200 shares (5.04%), after buying 1,599,760 from Oct. 8 to Dec. 3, at prices ranging from $2.85 to $6.59 apiece.

Mexican billionaire Carlos Slim Helu and his family boosted their stake in Telmex Internacional L shares to about 9.69 billion shares (67.41%), from the 9.62 billion (66.35%) that they had reported owning on Oct. 22. The Slim family also holds 22.2% of Telmex Internacional's A shares.

Third Point cut its position to 1.75 million shares (4.65%) from the 3.85 million (9.98%) that it had reported owning in September.
