Each week Barron's has a 13D Filings column. 13Ds are filed when a fund (usually an activist hedge fund) accumulates more than 5% of a firm and is planning on pushing for change (e.g.a sale of the company, sale of certain assets, a share buyback, or a share dividend) to unlock value.

DellaCamera Capital Management sent a letter to Enzon, saying that it opposes the proposed spin-off of the Evivrus biopharmaceutical unit, which would hold substantially all of the assets of Enzon's research and development activities. Recently DellaCamera disclosed that it had engaged investment bank Moelis & Co. to explore alternatives for its investment in Enzon. DellaCamera holds 2,922,998 shares (6.5% of the total outstanding).

A group of funds including Mario Gabelli's Gamco Investors (GBL) said that it recently had sent Pennichuck a letter nominating three candidates for election to the board at the company's 2009 annual meeting. Gamco plans to nominate Clarence A. Davis, Mark M. Feldman and Michael I. German. The Gabelli group currently has 631,282 shares (14.85%).

A shareholder group wants the company to formally consider entering into a settlement modifying its corporate-governance structure. The group includes CR Intrinsic Investments, Steven A. Cohen, D.E. Shaw Oculus Portfolios and D.E. Shaw Valence Portfolios. The group said the settlement would include cancellation of the company's Class B shares, and the establishment of a classified board under which only one-third of its members would be required to stand for election at each annual meeting. The group owns 6,053,678 shares (11.9%).

Hedge fund Elliott Associates, which has terminated its $447 million bid to buy Epicor, may nominate one or more directors to the company's board. Elliott also may recommence a tender offer or discuss with other parties any proposals involving Epicor. Elliott and its affiliates hold 7,902,581 shares (12.8%).

Kana Software (KANA) Hedge fund KVO Capital Management urged Kana Software to consider immediately selling itself, given its negative working capital, what KVO termed its history of poor management execution, plus reliance on capital raises and debt financing to remain a going concern. KVO Capital urged the company to change its poison-pill antitakeover provisions so that they wouldn't kick in unless a potential acquirer had a 20% stake. The current threshold is 4.9%. KVO Capital currently holds 2,365,205 shares (5.7%).
