"Strongbow Capital may nominate a slate of directors for election at the 2008 annual meeting, and may propose selling Duckwall-ALCO Stores. Strongbow has expressed disappointment with the Abilene, Kan., regional retailer's management and suggested that Duckwall-ALCO expand its board by adding a Strongbow designee and form an executive committee to oversee its business. Strongbow says that it's unhappy with results of the company's three-year turnaround program. The shareholder says that the company's management has done an "inadequate" job of controlling expenses and reducing inventory. Strongbow holds 543,517 shares (14.3% of the total outstanding)."

"Trinad Management wants Network Engines to consider initiating a share-buyback program. Trinad says it strongly believes that the board has an "obligation to dedicate a portion of its cash reserve and free cash flow to projects which have the greatest return to shareholders, such as a share-buyback program." The investor also says that it believes that Network Engines is "significantly undervalued, and that a share-buyback program would improve investors' overall perception of the company's equity value." Trinad reported ownership of 2.85 million shares (6.5%)."

"Sears Holdings (SHLD) intends to evaluate the "desirability" of proposing an acquisition of Restoration Hardware. Sears disclosed that it had proposed buying Restoration before the purveyor of high-end home furnishings agreed to be bought by a private-equity group. Sears says that it approached Restoration in June about a possible business combination, and in late October proposed purchasing the company for $4 a share. Sears is seeking to obtain certain nonpublic information from Restoration, and has indicated that it would enter into a confidentiality agreement to get such information. Sears Holdings has 5.3 million shares (13.67%)."
