ValueAct Capital Management asked Chimera's board to rethink the timing and magnitude of a proposed offering of 250 million common shares. ValueAct said the proposal, which it called "massively dilutive" and "misguided," shows "complete disregard for current Chimera shareholders." ValueAct believes that Chimera should raise capital through "a much smaller offering." ValueAct holds 4,532,628 shares (11.6%).

Investor Lloyd Miller III wants to enhance the tech firm's governance, oversight and shareholder value. Miller is considering the economics of a proposed sale of NMS's communications-platforms business. He questions the payment of more than $5.1 million in transaction costs in connection with the proposed $28 million sale, and argues that the costs are "disproportionate to the value realized by shareholders in the transaction." He also wants Robert Schechter to step down as chairman after the sale closes. Miller owns 3,058,945 shares (6.7%).

Fairholme Capital Management, United Rentals' largest shareholder, said that a recent amendment to its rights agreement is "unacceptable." UR announced that it had amended the rights plan, or "poison pill," to reduce to 15% from 25% the ownership stake by a shareholder that can trigger the plan. Fairholme said that it is "particularly disturbing" that United Rentals chose to substantively amend the rights agreement at a time when most large public firms have eliminated poison pills. Fairholme holds about 11.18 million shares (18.9%).
