Norwegian investment firm Kistefos contends that Trico misled investors during a recent proxy battle by saying that Kistefos' attempt to get two nominees on Trico's board could lead to a violation of the Jones Act. The law requires that goods transported between U.S. ports be carried by vessels built, owned and staffed by Americans and registered in the U.S. Kistefos wants Trico's board to look into this and other issues. (For more on the battle, see the Activist Spotlight, at right.) Kistefos, with 3,535,959 shares (18.4% of the total outstanding), is Trico's top stockholder.

Gamco Investors (ticker: GBL) disclosed that it now holds 6,674,358 shares (5.52%). The firm paid a little more than $198.4 million, or about $29.73 per share, to acquire the stock. Last month, computer maker Dell (DELL) offered to buy Perot Systems for $3.9 billion in cash, or $30 a share. Dell has since launched a tender offer for Perot. It expires at midnight eastern standard time on Nov. 2.

Harbinger Capital decreased its stake to 57,639,402 shares (13%), after selling 3,000,000 on Oct. 14 at $11.40 each. The firm also disclosed that its holdings were reduced by an additional 6,340,645 shares. Those shares have been rehypothecated in conjunction with the bankruptcy proceedings of Lehman Brothers International Europe. (Rehypothecated shares are those in clients' margin accounts that a brokerage firm pledges as collateral for a loan.)
