Each week Barron's has a 13D Filings column. 13Ds are filed when a fund (usually an activist hedge fund) accumulates more than 5% of a firm and is planning on pushing for change (e.g.a sale of the company, sale of certain assets, a share buyback, or a share dividend) to unlock value.

Appaloosa Management said it's open to talking with Centerbridge Capital and Dana, a maker of driveshafts, axles and other vehicle parts, about an alternative proposal to help Dana out of bankruptcy. Appaloosa proposes that Centerbridge invest $250 million in Series A preferred stock with controlling-governance provisions, while Appaloosa provide the funding for a $500 million Series B preferred-stock investment and an equity-rights offering. Appaloosa holds 22.5 million shares (14.98% of the total outstanding).
