Each week Barrons has a 13D Filings column. 13Ds are filed when a fund (usually an activist hedge fund) accumulates more than 5% of a firm and is planning on pushing for change (e.g.a sale of the company, sale of certain assets, a share buyback, or a share dividend) to unlock value.

Riley Investment Management, a major shareholder, sent a letter raising concerns about MAIR's proposed merger with Northwest Airlines. Northwest, under bankruptcy protection, is in talks to buy regional airline Mesaba Aviation, a unit of MAIR, which is also in bankruptcy. Riley said Northwest's bid, valued at $145 million, is grossly inadequate. Riley urged that the interests of significant independent shareholders be represented in the talks. Riley owns 1,062,229 shares (5.2%).

A consortium including Ramius Capital Group and Starboard Value & Opportunity Master Fund sent a letter to the computer-software maker, nominating three candidates for election to the company's board of directors at the 2007 annual meeting. The Ramius/Starboard group said it intends to nominate John Mutch, Philip Moyer and Jeffrey Smith. The investors said they continue to believe the company's shares are undervalued, and that they're still interested in acquiring the company. Ramius and its affiliates own 3,502,941 shares (13.8%).

Harbinger Capital Partners Master Fund I filed a complaint in court against Openwave over the company's director nomination and annual meeting procedures. Harbinger filed a preliminary proxy on Dec. 28 to nominate two candidates for the communications and media software provider's board. The complaint alleges that management has sought to thwart stockholders from nominating directors. Harbinger and its affiliates hold 10 million shares (10.6%).
